Terms of Service

Last updated: October 2026

These terms govern your use of the Harley Governance website and any advisory, subscription or consultancy services we provide. By engaging with us or this site, you accept these terms.

1. Services

Harley Governance provides clinical governance, regulatory compliance and operational oversight advisory services to private healthcare providers. The scope of any engagement is defined in the individual proposal or retainer agreement agreed between us and the client.

We reserve the right to decline or suspend services where a client's conduct, requirements or circumstances make continued provision inappropriate.

2. Advice & Limitations

Our guidance is based on current regulatory frameworks and professional standards at the time of writing. Regulatory requirements change, and we accept no liability for outcomes arising from a client's failure to implement, update or maintain the frameworks we recommend.

Nothing on this site constitutes legal advice. Clients should seek independent legal advice where specific legal questions arise.

3. Fees & Payment

Subscription and standalone service fees are set out in your proposal or on our Fees & Subscription page. Fees are payable in accordance with the agreed schedule.

Unless otherwise stated, fees are exclusive of applicable taxes. Overdue invoices may incur interest and suspension of services.

4. Confidentiality

Both parties agree to keep confidential any non-public information shared during an engagement. We handle personal data in accordance with our Privacy Policy and our registration with the Information Commissioner's Office.

5. Intellectual Property

All materials, frameworks, templates and content provided remain the intellectual property of Harley Governance unless otherwise agreed in writing. Clients receive a licence to use delivered materials within their own organisation for the purpose of the engagement.

6. Liability

To the fullest extent permitted by law, Harley Governance's aggregate liability for any claim arising from our services is limited to the fees paid for the engagement giving rise to the claim. We are not liable for indirect or consequential losses.

7. Changes to These Terms

We may update these terms from time to time. Continued use of our services or site after changes are posted constitutes acceptance of the revised terms.
